About the Opportunity

The Deals Tax Management Team Advisory Group provides expert advice on the design, implementation, and ongoing operation of management and employee incentives. These incentives may arise during the acquisition or sale of a business, or when organisations need to introduce new incentive arrangements.

You will work with a client base that primarily includes:

• Top-tier and mid-market Private Equity investors

• Board-level and C-suite executives within PE-backed portfolio companies

What You’ll Be Doing

As part of this team, you will contribute to a wide range of fast-moving and commercially significant projects, often involving both **UK and international tax considerations**.

Your responsibilities are likely to include:

• Supporting transaction-related projects before, during, and after completion

• Advising management teams and PE investors on the implementation of Management Incentive Plans (MIPs) during and after transactions

• Assisting with equity resets

• Advising on joiner and leaver events during the investment lifecycle

• Supporting businesses in preparing for an exit event, such as:

• Sale to another PE investor

• Trade sale

• IPO or float process

• Contributing to tax due diligence exercises

• Delivering tailored technical advice on complex matters in a clear, practical, and commercially focused way

• Working closely with both junior and senior colleagues on demanding, high-paced assignments

• Encouraging collaboration, development, and coaching within the team

• Helping to strengthen relationships with:

• Clients

• Internal stakeholders

• External intermediaries

• Junior team members

• Supporting business development initiatives, including:

• Identifying and researching opportunities

• Assisting with proposals

• Attending networking events

What We’re Looking For

This role would suit someone who combines strong technical tax knowledge with commercial awareness and enjoys operating in a dynamic deals environment.

To be successful, you should have:

• ACA and/or CTA qualification (or international equivalent), or comparable professional experience

• We welcome international applicants who have gained relevant experience and qualifications in their home country

• Strong knowledge of management incentive plans, particularly those used in the Private Equity sector

• Experience of, and enthusiasm for, working in a Deals-focused environment

• Excellent communication and interpersonal skills, including the ability to influence and negotiate effectively

• Strong analytical, project management, and report writing abilities

• A naturally inquisitive mindset with a proactive approach to problem-solving

• The ability to work effectively as part of a diverse and collaborative team
